Terms of service
These terms apply to the NY Opening Signal website, samples, pilots, reports, files, and related services. By purchasing or using the service, you agree to these terms. If you are acting for a company, you represent that you may bind that company.
The service
NY Opening Signal provides screened and classified commercial signals derived primarily from public licensing data and public operating evidence. Service scope, territory, delivery frequency, term, and price are stated in the applicable order, invoice, or written confirmation.
Signals—not guarantees
A pending licence application or related public event does not guarantee that a venue will open, transfer, close, relocate, obtain approval, or purchase a customer’s products or services. Classifications, confidence labels, summaries, and scores are research judgments intended to prioritise further investigation. Customers must verify records at authoritative sources before relying on them.
Customer responsibilities
You must use the service lawfully and responsibly. You may use delivered records for your internal business-development workflow. You may not represent the records as confirmed facts when they are uncertain, use them to harass or discriminate, attempt to identify protected personal traits, use unlawful marketing practices, resell or republish the service as a competing data product, or imply government endorsement.
Public sources and availability
Public sources may be changed, delayed, corrected, restricted, withdrawn, or unavailable without notice. NY Opening Signal may pause delivery when source freshness, schema, access, or quality checks fail. We do not promise uninterrupted source access or a fixed number of qualifying signals in every territory.
Fees and pilot refund
Fees are due as stated at checkout or on an invoice. The founding pilot is paid upfront. A founding-pilot customer may request a refund during or promptly after the pilot if the screened records are not materially earlier or more actionable than the customer’s existing source. Requests should explain the concern and be sent to [email protected]. Any continuation is optional and agreed separately.
Intellectual property
NY Opening Signal retains rights in its screening process, classifications, annotations, formatting, software, workflow, and original materials. Public-source records remain subject to their applicable source terms. No government seal, logo, endorsement, or protected identity is transferred or implied.
Disclaimers
The service is provided on an “as available” basis for commercial research. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, and error-free results. The service is not legal, licensing, investment, employment, or compliance advice.
Limitation of liability
To the extent permitted by law, NY Opening Signal will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from the service or a customer’s use of a signal. Aggregate liability relating to a paid pilot or subscription will not exceed the amount the customer paid for the service during the three months preceding the event giving rise to the claim. Some jurisdictions do not allow every limitation, so applicable law may provide additional rights.
Suspension and termination
Either party may end a month-to-month continuation as provided in its order terms. We may suspend or terminate access for nonpayment, misuse, security risk, unlawful conduct, source failure, or material breach. Provisions that by their nature should survive termination will survive.
Changes and contact
We may update these terms as the service develops. Material changes will be identified by a revised effective date and will apply prospectively unless law requires otherwise. Questions may be sent to [email protected].
